Reseller Agreement

Order Minimum: Tacky Smack, LLC minimum wholesale order is NET $150.00 U.S. All orders must be prepaid unless otherwise approved.

Inventory: Please check with us before guaranteeing delivery. We require 3-4 weeks lead time to meet wholesale orders. If we can complete the wholesale order prior to the standard 3-4 weeks lead-time we will notify you at time of your order.

Prices: Please refer to our on-line published MSRP(s). Wholesale prices are subject to change. Notice of changes in wholesale pricing will be given to the reseller with 30 days notice.

Shipping: Wholesale orders will be shipped to the reseller or the appointed warehouse. Orders can not be shipped to Post Office boxes.

Additional Terms

• Tacky Smack, LLC maintains the right to terminate this agreement at its discretion should Reseller not represent Tacky Smack, LLC or its products appropriately.
• Tacky Smack, LLC may terminate the agreement if any payment is in arrears and Reseller fails to pay the same within seven (7) days of notice from Tacky Smack calling upon Reseller to pay the same.
• Upon termination of the agreement, reseller must remove images from their on-line and print catalogs, and cease to sell the products.
• This agreement shall be binding upon, and inure the benefit of Tacky Smack, L.L.C. and all its present and future subsidiaries, successors and assigns.
• This agreement shall be governed by the laws of the State of Washington.
